Terms of Service

These Terms of Service (“Terms”) govern your use of BioePay, a pay-by-bank payment experience operated by BioeFunds LLC (“BioePay,” “we,” “us,” or “our”), including bioepay.com and the BioePay experience offered inside participating retailers’ apps and loyalty programs. By enrolling in or using BioePay, you agree to these Terms.

The Service

BioePay lets you authorize a payment directly from your own bank account to a participating retailer. BioePay operates the enrollment, authorization, and recordkeeping around that payment. BioePay does not hold or transmit your funds — payment moves directly between your bank and the retailer.

Eligibility

To use BioePay, you must be at least 18 years old, a resident of the United States, and the owner or an authorized signer on the bank account you enroll.

Your Relationship With the Retailer

BioePay is offered to you through a participating retailer’s app or loyalty program. Your relationship with that retailer — including its own terms, loyalty program rules, and any purchase you make — is governed by your agreement with the retailer, separate from these Terms.

Payments You Authorize

Each time you use BioePay, you authorize a specific debit from your enrolled bank account to the retailer. Authorization outcomes reflect the result returned by our payment-processing infrastructure and the financial institutions and networks it connects to at the time of your request. Any guarantee, coverage, or return-handling arrangement with a retailer is governed by BioePay’s separate agreement with that retailer, not by these Terms.

Your Responsibilities

You agree to:

• Provide accurate, current information when you enroll
• Only enroll a bank account you own or are authorized to use
• Keep your BioePay credentials confidential and secure
• Use BioePay only for lawful purchases you intend to make
• Obtain any consents required from others before enrolling their information

Fees

BioePay’s own fees, if any, for using the service will be disclosed to you at enrollment. Your bank may charge fees under your own account agreement, separate from and unrelated to BioePay. If you opt in to text messages, your mobile carrier’s message and data rates may apply.

Acceptable Use

You agree not to:

• Submit or attempt to authorize a payment you do not intend to honor, or from an account you are not authorized to use
• Interfere with or disrupt BioePay or attempt to access it by any means other than the interface we provide
• Reverse-engineer, decompile, or attempt to derive the source code of BioePay
• Use BioePay for any unlawful purpose

Text Messages

If you opt in to receive text messages from BioePay, that participation is governed by our SMS Terms in addition to these Terms.

Unauthorized Transfers and Errors

If you believe a payment authorized through BioePay was unauthorized or contains an error, contact your bank promptly. Federal law provides consumers with rights regarding unauthorized electronic fund transfers from their accounts, including timeframes for reporting and procedures for error resolution. You may also contact us at info@bioepay.com and we will assist. Nothing in these Terms limits any right you have under applicable law.

Disclaimers

BioePay is provided “as is” and “as available.” To the fullest extent permitted by law, BioeFunds LLC disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that BioePay will be uninterrupted or error-free.

Limitation of Liability

BioeFunds LLC is responsible only for its own acts and omissions in operating BioePay. We are not responsible for the acts, omissions, errors, or delays of your bank, the retailer, payment networks, telecommunications carriers, or other third parties, or for events beyond our reasonable control.

We will be liable to you only for direct damages caused by our own negligence or willful misconduct. To the maximum extent permitted by law, our total liability for any claim arising from or relating to BioePay will not exceed the greater of (a) the amount of the specific payment at issue, or (b) the total fees you paid to BioeFunds LLC for BioePay in the twelve months preceding the claim.

In no event will BioeFunds LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, even if advised of the possibility.

Nothing in this section limits liability that cannot be limited or excluded under applicable law, including rights relating to unauthorized electronic fund transfers from your account.

Indemnification

You agree to indemnify and hold BioeFunds LLC harmless from any claim, loss, or demand arising from your use of BioePay or your breach of these Terms.

Changes & Termination

We may modify these Terms or suspend or discontinue BioePay, in whole or in part, at any time. The “Last updated” date above reflects the most recent revision. We may suspend or terminate your access to BioePay for conduct that violates these Terms.

Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles.
